Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the SharePath website and services (the "Service") operated by SharePath ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

Agreement to Terms

By creating an account or using SharePath AI, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company, you confirm you have authority to bind that company.

You must check the box "I agree to the Terms of Service and Privacy Policy" before signup. (Required under GDPR Art. 6 and UK GDPR – https://eur-lex.europa.eu/eli/reg/2016/679/oj ; https://ico.org.uk/for-organisations/)

Eligibility

You must be at least 18 years old and capable of forming a binding contract. Accounts registered through automated tools or bots are not allowed.

Your Account

You are responsible for safeguarding your login credentials and for all activity under your account. If you suspect unauthorized access, email dev@sharepath.ai immediately.

We may suspend or terminate accounts for breach of these Terms or misuse of the service.

Acceptable Use

You agree not to:

  • Interfere with or attempt to compromise system security
  • Use the service to break laws or infringe others' rights
  • Reverse engineer, scrape, or resell the platform without written consent
  • Upload unlawful, defamatory, or malicious content
  • Attempt to use another user's account

Intellectual Property

The SharePath AI platform, code, design, and trademarks remain our property. You keep ownership of any original materials you upload or create using the platform.

AI-Generated Content

SharePath AI produces drafts and suggestions using AI models. You are solely responsible for reviewing, editing, and validating all AI outputs before use or publication.
SharePath AI makes no warranties as to the accuracy, legality, or fitness of any AI-generated content and is not liable for any loss or damage arising from its use. (This aligns with FTC guidance on AI-generated material responsibility — https://www.ftc.gov/business-guidance.)

Subscriptions, Billing, and Cancellation

  • Plans are billed monthly in advance on the first day of each billing cycle.
  • Charges are handled by our payment processor (e.g., Stripe). We never store full card data.
  • Subscriptions auto-renew unless canceled before the next billing date.
  • Cancellations take effect at the end of the current paid month. No prorated refunds or credits are offered. (Permitted under California Civil Code §1789.3 and EU Directive 2011/83/EU when disclosed in advance.)
  • Taxes may apply based on your location.

Termination and Data Retention

You may cancel anytime in your account settings. We may terminate accounts for misuse, non-payment, or legal reasons. Data is retained according to our published retention schedule:

  • Account data up to 12 months after closure
  • Workflow content deleted or anonymized within 90 days
  • Billing data retained 7 years (tax law)
  • Logs 12 months; analytics 24 months; support records 24 months

Aggregated or anonymized data may be kept longer for product improvement. (See GDPR Art. 5(1)(e) storage limitation.)

Disclaimers

The service is provided “as is.” We do not guarantee uninterrupted operation, error-free outputs, or specific business results. To the extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness, and non-infringement.

Limitation of Liability

To the maximum extent allowed by law:

  • SharePath AI and its officers, employees, and contractors are not liable for any indirect, incidental, consequential, or punitive damages.
  • Total liability for any claim will not exceed the amount you paid us in the previous 12 months.

Some jurisdictions (including parts of the EU) do not allow exclusion of certain damages; in those cases, our liability is limited to the minimum extent required by law.

Indemnification

You agree to defend and hold harmless SharePath AI from any claim or demand arising out of your misuse of the service or violation of these Terms.

Changes to These Terms

We may update these Terms periodically. When changes are material, we’ll notify you by email or in-app notice at least 7 days before the new Terms take effect. Continuing to use the service after that date means you accept the revised Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Any dispute must be brought in the state or federal courts of Los Angeles County, California, and both parties consent to their jurisdiction. (Reference: California Code Civ. Proc. §410.10.)

For users outside the U.S., this choice of law applies unless local mandatory laws require otherwise.

Regional Add-Ons

A. EU / UK Users

  • Right of Withdrawal: If you are a consumer, you may withdraw from a paid subscription within 14 days of purchase under the EU Consumer Rights Directive 2011/83/EU.
  • Lawful Bases: Your account data are processed under GDPR Art. 6(1)(b) (performance of contract); marketing communications require consent Art. 6(1)(a).
  • Transfers: Personal data may be sent to the U.S. under the EU–US Data Privacy Framework or SCCs 2021/914 + UK IDTA Addendum (https://eur-lex.europa.eu/eli/dec_impl/2021/914/oj ; https://ico.org.uk/for-organisations/uk-gdpr-guidance-and-resources/international-transfers/international-data-transfer-agreement-and-guidance/).
  • Complaints: You may contact your national data protection authority if you believe your rights under GDPR have been infringed (https://edpb.europa.eu/our-work-tools/general-guidance/guidelines-recommendations-best-practices_en).

B. California Users (CPRA)

  • We do not sell or share personal information as defined by the California Privacy Rights Act 2023 (https://oag.ca.gov/privacy/ccpa).
  • You may request access, correction, or deletion of your data at dev@sharepath.ai.
  • You may send a “Do Not Sell or Share My Personal Information” request via the same email.
  • Global Privacy Control (GPC) browser signals are honored.
